1. Introduction
Welcome to Vosk Softwares! These Terms of Service ("Terms") govern your access to and use of our SaaS custom software development application (the "Application") and any related services provided by Vosk Softwares ("we," "us," or "our"). By accessing or using the Application, you ("you" or "your") agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Application.
2. Account Creation and Access
Eligibility: You must be at least 18 years old and have the legal capacity to enter into these Terms to create an account and use the Application. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Interfere with or disrupt the Application or servers or networks connected to the Application.
Attempt to gain unauthorized access to the Application, other accounts, computer systems, or networks connected to the Application.
Use the Application to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature.
Violate any applicable laws or regulations.
Use the Application to infringe the intellectual property rights of others.
Use the Application to transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
Compliance with Laws: You agree to comply with all applicable laws and regulations in your use of the Application.
4. Intellectual Property Rights
Ownership: The Application and all its content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Vosk Softwares, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Limited License: These Terms permit you to use the Application for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Application, except as follows:
Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your Web browser for display enhancement purposes.
You may print or download one copy of a reasonable number of pages of the Application for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
Trademarks: All trademarks, service marks, logos, and trade names displayed on the Application are the property of their respective owners. You are prohibited from using any of these marks without the express written permission of Vosk Softwares or the respective owner.
5. Fees and Payment
Fees: The fees for using the Application will be as described on our website or as otherwise agreed to in writing. We reserve the right to change our fees at any time.
Payment: You agree to pay all fees in a timely manner. If you fail to pay any fees when due, we may suspend or terminate your account.
Refunds: Refunds will be handled in accordance with our refund policy, which is available on our website.
6. Disclaimer of Warranties
"As Is" Basis: The Application is provided "as is" and without warranties of any kind, either express or implied.
No Warranties: We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
No Guarantee: We do not warrant that the Application will be uninterrupted or error-free, that defects will be corrected, or that the Application or the server that makes it available are free of viruses or other harmful components.
7. Limitation of Liability
Indirect Damages: In no event will Vosk Softwares be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Application, whether in an action in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages.
Direct Damages: Our liability to you for any direct damages arising out of or related to your use of the Application will be limited to the amount of fees you have paid to us in the twelve (12) months preceding the event giving rise to the liability.
8. Indemnification
You agree to indemnify and hold harmless Vosk Softwares and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Application, your violation of these Terms, or your violation of any rights of a third party.
9. Governing Law and Dispute Resolution
Governing Law: These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Dispute Resolution: Any dispute arising out of or relating to these Terms or the Application will be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be held in Delaware. The decision of the arbitrator will be final and binding on both parties.
10. Entire Agreement
These Terms constitute the entire agreement between you and Vosk Softwares relating to the Application and supersede all prior or contemporaneous communications and proposals, whether oral or written.
11. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck from these Terms and the remaining provisions will remain in full force and effect.
12. Waiver
No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of Vosk Softwares.
13. Changes to These Terms
We reserve the right to update these Terms from time to time. We will post any changes on this page and update the "Effective Date" at the top. Your continued use of the Application following the posting of revised Terms means that you accept and agree to the changes.
